3CX Partner Agreement
=====================

This contract is entered by and between;
3CX Ltd, Block B, Office 303,
Engomi Business Centre, 1, 28 October Avenue,
2414 Nicosia, Cyprus. 

Represented by Mr. Nick Galea, Managing Director of 3CX Ltd. From now on called "3CX".

and;

the applicant from now on called "Partner".

It is hereby agreed as follows;

Article 1 - Purpose
3CX produces telecommunications software products, and hereby grants the Partner, acting as an independent business person, the possibility of selling & marketing 3CX software products under the conditions laid out in this contract. This is in no way a transfer of marketing rights, property rights, author rights, patented or non patented rights.

Article 2 - Partner level & margin
Registered Partner
-------------------------------
This is the starting level and entitles Partner to a free 3CX Phone System Mini license and 20% margin. This level allows Partner to familiarize themselves with 3CX, follow the 3CX training (training.3cx.com) and prepare for their first 3CX Phone System sale.

Preferred Partner
-------------------------------
The Preferred Partner level is for Partners that have sold at least one license and are selling 3CX Phone System on an ongoing basis. A Preferred Partner must sell at least 1 license every 6 months.

The Preferred Partner level gives a 20% margin and a free NFR key for 3CX Phone System Small Business Edition. Preferred Partner will get a listing on our website (providing Partner lists 3CX on Partner website).

Premium Partner
-------------------------------
The Premium Partner level is for Partners that have sold several phone systems already and are hitting quarterly sales targets determined by a 3CX Channel Manager. At least one member of staff needs to pass the 3CX Certification test.

A Premium Partner receives 25% margin, an NFR key for 3CX Phone System Pro Edition, as well as a Premium Partner web listing. Leads will also be forwarded.

Article 3 - Payment terms
Partner will commit to paying the first 3 orders via credit card. If partner continues to order on a monthly basis, 3CX will extend 30 day credit terms. 
Partner will commit to paying these invoices within 30 days.

Article 4   Duration of this contract
1.	This contract will be for one year from the date the contract is signed. This Agreement shall automatically renew on each subsequent year for a one-year term, unless it is terminated earlier in accordance with this Agreement.
2.	The contract may be terminated by either party with one month written notice.

Article 5   Obligations of 3CX
3CX commits to the following:
1.	To give partner access to free in-house versions of 3CX Phone System.
2.	To give partner priority support via e-mail and live support within its business hours.
3.	To give web-based sales & support training.
4.	For Preferred Partners and up: To list the partner on the 3CX, subject to listing of 3CX on their web sites.partner page and ordering pages.
5.	For Preferred Partners and up: To give partner access to leads generated by 3CX' website.

Article 6   Obligations of Partner
Partner commits to do the following:
1.	To have at least one employee that has installed & configured 3CX Phone System and familiarized him/herself with the software. Partner is to make reasonable effort 
to become technically competent in 3CX Phone System. At a minimum we expect a partner to:
a)	Have installed 3CX Phone System as per the manual
b)	Have understood the basics of SIP and 3CX Phone System by reading the technical documentation on the 3CX wiki (http://wiki.3cx.com).

c)	Be aware of the support section with FAQs and Configuration guides at http://www.3cx.com/support/index.html .
d)	Followed any technical or sales trainings listed on the 3CX Partner portal and training site (https://erp.3cx.com and http://training.3cx.com) .
e)	Have the ability to capture SIP traffic using a network capture tool if needed ( http://www.3cx.com/support/sip-capture.html ).
2.	If customer buys a support package from reseller: offer first line support for 3CX Phone System to customers. 
(This does not apply for 3CX support packages - in this case 3CX will handle support via email and live support).
3.	Display 3CX logo on website, include a small description of 3CX Phone System on partner's website and link to the appropriate 3CX website 
(either 3cx.com or the appropriate localized version of it).
4.	Have technical staff on board which is able to communicate with 3CX Support staff in English.
5.	Attend the sales training web cast.
6.	To remain a 3CX Partner, make regular purchases of not less than one full license every six months in order to continue receiving benefits of support portal access and use of Not For Resale license key.

Article 7 - Trademarks
1.	Ownership of trademarks - Partner acknowledges that 3CX is the rightful owner of all its trade marks, including the 3CX logo and name. 
2.	Use of trademarks - The Partner may use certain 3CX trademarks in connection with the business of marketing and selling the products. 
However partner commits to immediately stop using the 3CX trademark if this agreement is to be cancelled by either party.

Article 8 - Copyright of 3CX products
Partner acknowledges the copyright of 3CX on all its products, and will commit to notifying 3CX immediately, as soon as it is aware of an infringement on this copyright.

Article 9 - Not for Resale license keys
Partner agrees not to sell or distribute the NFR license key for 3CX Phone System provided free of charge by 3CX.
The NFR key may only be used at partner's premises. The key may not be used at customer's premises, not even for demonstration purposes. 

Article 10 - Limitation of liability
NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, LOSS OF USE OR OTHER COMMERCIAL LOSS OF WHATEVER NATURE ARISING OUT OF OR CONNECTED WITH THIS AGREEMENT OR ITS PERFORMANCE, PARTIAL PERFORMANCE OR NON PERFORMANCE.
